Welcome to AminoCloud's Laboratory Resource System (LRS). These Terms govern your use of our website (https://www.aminocloud.com), laboratory management software, and associated services (collectively, the "Service"). By accessing our website or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use our website or software.

Use of Website and Services

You may use our website and Laboratory Resource System only for lawful purposes and in accordance with these Terms. The website provides general information about our products and services. Access to the LRS requires proper registration and authentication.

Our LRS includes multiple subsystems designed for clinical diagnostic laboratories: Electronic Lab Notebook (ELN), Inventory Manager, Documentation System, Asset Management, Compliance System, Genomics Suite, and Laboratory Information System (LIS).

Account Registration and Authentication

To use our Laboratory Resource System, you must create an account through our secure authentication system. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Authentication Requirements

  • Enterprise-grade authentication through approved identity providers
  • Multi-factor authentication may be required for enhanced security
  • Account access is tenant-specific and isolated per organization
  • Regular password updates and security compliance as required

Subsystem Licensing and Access

Access to specific subsystems within the LRS is controlled through licensing agreements. Your organization's license determines which subsystems and features are available to your users.

  • Electronic Lab Notebook: Experiment management and compliance documentation
  • Inventory Manager: Supply tracking and asset management
  • Documentation System: Safety data sheets and regulatory filings
  • Asset Management: Equipment tracking and maintenance scheduling
  • Compliance System: Training modules and regulatory checklists
  • Genomics Suite: Bioinformatics tools and secure code repositories
  • Laboratory Information System: Sample and result management

License counts and subsystem access are managed through our administrative systems. Organizations may request license modifications through official channels.

Software License Grant

AminoCloud grants you a limited, non-transferable, non-exclusive license to use the Laboratory Resource System for internal laboratory operations during your active subscription period. This license is subject to the terms of your specific service agreement.

The software is built using modern frameworks, industry-proven libraries, and enterprise-grade infrastructure to ensure reliability, security, and compliance with laboratory regulations.

Free Trial and Evaluation Use

Trial Limitations and Clinical Use Restrictions

  • Use during free trial is limited to evaluation and testing purposes only
  • No clinical diagnostic use of the LIS module is permitted during trial periods
  • LIS may only process derivative samples where patients/physicians have already received diagnostic information
  • Trial access ends automatically unless extended through written agreement
  • Trial data may be subject to retention limits and cleanup policies
  • Physical assets (monitoring nodes, infrastructure) must be returned upon trial termination

Organizations requiring clinical use must execute a full service agreement with appropriate validation and compliance documentation.

Intellectual Property Rights

All content on our site and in our Laboratory Resource System—including text, graphics, logos, software code, and methodologies—is the property of AminoCloud or its licensors and is protected by intellectual property laws.

You may not reproduce, distribute, reverse engineer, or create derivative works without written permission. This includes but is not limited to our proprietary algorithms, workflow designs, and integration methodologies.

Prohibited Uses

You agree not to use the Service for any of the following prohibited activities:

  • Use the Service for unlawful purposes or in violation of any applicable regulations
  • Reverse-engineer, decompile, or attempt to extract source code from the software
  • Sublicense, resell, or redistribute the Service to third parties
  • Use the LIS module for clinical diagnostics during trial or evaluation periods
  • Attempt to gain unauthorized access to other tenants' data or systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use the Service to transmit malicious code, viruses, or other harmful components
  • Violate any laboratory safety protocols or regulatory compliance requirements

Data Ownership and Management

Customer organizations retain full ownership of all laboratory data, experimental records, and other information entered into or generated through use of the Service. AminoCloud does not claim ownership of customer data at any time. This includes but is not limited to research data, test results, inventory records, and compliance documentation.

Data Responsibilities and Rights

  • Customers maintain complete ownership and control of their data
  • Customers are responsible for managing user access through role-based controls
  • Data export capabilities are provided for portability and backup purposes
  • Data retention periods are specified in individual service agreements
  • AminoCloud may retain anonymized or aggregated data for service improvement only
  • All data handling complies with 21 CFR Part 11 and ISO 27001 requirements

Customers maintain responsibility for ensuring their data handling practices comply with applicable regulations for their specific laboratory operations and jurisdiction. Network security, user authentication management, and access controls remain the customer's responsibility within their organizational infrastructure.

Service Level and Availability

AminoCloud strives to maintain high availability and performance standards for the Laboratory Resource System. Specific service level commitments and availability targets are detailed in individual service agreements.

Availability and Maintenance

  • Target availability varies by subsystem (typically 99.0% - 99.99%)
  • Scheduled maintenance will be announced with advance notice (typically 14 days)
  • Emergency maintenance may occur with limited notice for critical security or stability issues
  • Support response times vary by incident severity and service agreement
  • Outage notifications are sent to designated administrators

Maintenance activities are scheduled during off-peak hours when possible and coordinated with designated customer representatives. Availability calculations exclude pre-scheduled maintenance windows.

Regulatory Compliance and Validation

The Laboratory Resource System is designed to support compliance with healthcare and laboratory regulations, including 21 CFR Part 11 for electronic records and ISO 27001 for information security management. Organizations remain responsible for their specific regulatory compliance obligations.

Validation documentation, compliance reports, and audit support are available through our professional services team for organizations requiring formal validation packages.

Privacy and Data Protection

Our Privacy Policy (available at www.aminocloud.com/privacy-policy) describes our practices regarding the collection, use, and disclosure of information. You agree to the use of your information in accordance with these Terms and our Privacy Policy.

We employ industry-standard security measures including encryption, access controls, and monitoring to protect your information and maintain data integrity.

Feedback, Suggestions, and Co-Development

Any suggestions, ideas, feedback, or recommended features provided to AminoCloud during your use of the Service may become the property of AminoCloud for the purpose of improving our products and services.

Intellectual Property Rights

  • Feedback and suggestions provided to AminoCloud may be used for product development
  • Features co-developed between AminoCloud and customers become AminoCloud property
  • No royalties or compensation are owed for incorporated feedback or co-developed features
  • Comments made through various communication channels may be used for service improvement

This allows us to continuously improve our Laboratory Resource System based on real-world usage and customer needs without creating complex intellectual property obligations.

Third-Party Integration and Links

Our Service may integrate with or contain links to third-party websites, services, or applications. We are not responsible for the content, privacy practices, or accuracy of those external services.

Integration with laboratory instruments, enterprise systems, and other third-party services is subject to separate integration agreements and the terms of those providers.

Limitation of Liability

To the fullest extent allowed by law, AminoCloud shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our website or Laboratory Resource System, including but not limited to loss of data, loss of profits, or business interruption.

Our total liability for any claims arising from these Terms or the use of our Service shall not exceed the amount paid by you for the Service during the twelve months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless AminoCloud and its affiliates, officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

  • Your use of or access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party rights or applicable laws
  • Any claim that your data or content caused damage to a third party
  • Misuse of the Service or failure to comply with regulatory requirements

Termination

We reserve the right to terminate or suspend access to the Service for violations of these Terms, non-payment, or other material breaches of your agreement with us. You may terminate your use of the Service at any time by providing written notice.

Upon Termination

  • Access to the Service will be suspended or terminated
  • Customer data will be available for export for a specified retention period
  • Physical assets (if provided) must be returned according to agreement terms
  • Infrastructure resources will be decommissioned according to agreement terms
  • Advance notice requirements may apply (typically 14 days written notice)
  • Confidentiality obligations will survive termination

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes arising from these Terms or the Service will be resolved in the courts of Virginia.

Important: If a separate written service agreement, trial agreement, or other contract is executed between you and AminoCloud, the terms of that specific agreement will take precedence over these general Terms of Service in the event of any conflict. These Terms serve as baseline conditions where no specific agreement exists.

Modifications to Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will notify users through appropriate channels and update the "Last Updated" date.

Continued use of the website or Service after any changes constitutes your acceptance of the revised Terms. For material changes affecting service agreements, we may require explicit acceptance.
